Board of Directors Election
Sumner-Cowley Electric is guided by the unique principles of the cooperative business model, including democratic member control. Our Board of Directors, made up of democratically elected SCEC members, provides leadership and oversight on behalf of the entire membership.
Each year, eligible members can seek nomination for director positions up for election through the petition process established by SCEC’s bylaws. In 2021, the Director positions in Districts 4, 6 and 7 are up for election (map below). A member seeking a director position shall provide a petition signed by no less than five (5) members of the candidate’s district. The petition shall be presented to the Cooperative’s Chief Executive Officer no sooner than January 1st and no later than the close of business the last day of business in January of the elections year for verification.
Those seeking election must meet the qualifications requirements established by SCEC’s bylaws. No person shall be eligible to become or remain a director who:
(a) Is not a bona fide resident of the district from which a director is to be elected or appointed or after becoming director loses bona fide residence of the district from which elected or appointed.
(b) Is in any way employed by or financially interested in a competing enterprise or a business selling electric energy or supplies to the Cooperative, or a business primarily engaged in selling electrical or plumbing appliances, fixtures or supplies to the members of the Cooperative.
(c) Is personally employed or has a spouse, parent, sibling, child or grandchild, including a step-parent, step-sibling, step-child, or step-grandchild who is an employee of the Cooperative.
One director shall be elected by ballot for a term of three (3) years. Once elected, directors are responsible for:
- Making decisions and working with the cooperative’s management and key staff to set policies and develop strategies to keep the cooperative on track. To do that they must maintain a working knowledge of the electric cooperative in order to serve members in each of the nine districts.
- Providing oversight. This fiduciary duty requires them to monitor the cooperative’s business performance, risk assessment and compliance with legal obligations.
- Setting the cooperative’s mission, purpose(s), and engage, on a regular basis, in strategic planning.
- Reviewing, monitoring and reporting to the membership regarding the critical operating and financial performance of the cooperative. Ensuring effective planning and adequacy of resources.
- Contracting and approving an annual independent financial audit.
